Monica Halford’s Expertise As a member of the senior leadership team my role was to ensure the Mortgages and Savings Division had a robust Corporate Governance and Control regime in place. Accountable for a 1st line control function which provided governance support to the division and conducted monitoring reviews to provide assurance that controls were effective, reporting findings to the appropriate Board and divisional committees. Examples: • Set up a new Governance and Control Team, recruiting mainly from across the organisation, covering anti money laundering control checking, business assurance reviews, governance support and operational risk management. • Developed governance framework for the mortgages and savings division taking into account both Group standards and the best practice requirements of the UK Corporate Governance Code. • Ongoing governance support provided by managing and facilitating Board and committee meetings, the setting up of a wider business governance working group to share best practice, and the completion of annual effectiveness reviews to ensure framework reflected current practice, identified improvements and met regulatory expectations. • Led the project to document, for the first time, the high level key controls for the end to end mortgage customer journey. This included when the controls had last been reviewed by a control function e.g. audit / compliance. The resulting framework was a huge success, with positive feedback received from audit, compliance and the Specialist Lending Board. Subsequently produced a risk based monitoring plan for my team to carry out business control reviews to provide assurance on the adequacy and effectiveness of controls to mitigate regulatory risks with progress and findings being reported to Board / Committees to enable them to have effective oversight.Role required a detailed knowledge of a wide range of compliance topics and the ability to manage and motivate a small team of specialists during a period of change both within the Society and the regulatory environment within which it operated. Some examples: • Established and subsequently managed a compliance monitoring function, which in addition to monitoring, provided guidance and support to the business helping to ensure that all areas of the group were compliant with regulatory requirements e.g. FSA rules applicable at that time. • Kept abreast of all new compliance developments and liaised with affected business areas/branch support to ensure the Society was fully compliant from the effective date. • Formulated and kept up to date the Group Compliance Monitoring Plan ensuring that all FSA/DPA etc compliance risks were included and reviewed. The Audit & Compliance Committee approved the plan and a risk-based report was provided at each meeting summarising and highlighting the key issues for them to consider. • Assisted in the preparation for regulator risk(ARROW)/supervisory visits, liaising with the regulator on pre visits requests and subsequent action planning. • Carried out the role of Data Protection Officer e.g. Introduced and delivered Data Protection Training, drafted policy and supporting procedures, provided expert guidance and support.Maintained secure systems to ensure the efficient provision of all compliance information necessary, with analysis and evaluation, for the Windsor Life Board and the Regulators to determine the degree of compliance within the Group. This included evaluation of the degree of compliance within yet to be acquired companies. Some examples: • Introduced risk assessment process to evaluate applicable rules changes, regulatory guidance and the general regulatory environment for any consequent operational implications on the Group, with a focus on FSA/DPA activity. Ensuring that the business adopted an appropriate compliance stance. • Formulated, in liaison with business managers and internal audit, the Compliance Monitoring Plan ensuring that all FSA/DPA compliance risks were included and actioned. Both the Board and Audit Committee approved the plan and a risk-focused report was provided for each Board meeting summarising the key issues. • Worked in partnership with key business executives/managers on cross-functional projects, such as the FSA’s Senior Management Systems and Controls, Approved Persons Regime, Training and Competence, and Data Protection. • Carried out the role of Data Protection Officer as required by the provisions of the Data Protection Act.To plan, organise and control all functions of the Compliance Services Department and ensured that the Birmingham Midshires Group complied with its regulatory and legislative requirements by continuously reviewing the adequacy, efficiency and effectiveness of controls within the Group through a programme of compliance inspections and environment monitoring. Some Examples: • Evaluated and advised the business of its exposure to compliance risk, thereby ensuring that responses to significant developments as a result of legal and regulatory changes, rule notices and regulatory guidance were appropriate and brought within the scope of the risk assessment and planning process. • Liaised with and accompanied regulator representatives on Periodic Inspection Visits (PIV’s) within the Group. Presented findings to the Board and Audit Committee together with proposed plan for remedial action where appropriate. • Corporate Acquisition – Project Managed a team which assessed compliance with the Building Societies Act 1986 on the requirement to maintain an accurate register of its members (Shareholders). Board approved recommendations led to the initiation of two major business priority one projects, work on which enabled the Society to proceed with its plans for the future of the business. Presented with two executive awards as recognition of achievement for work undertaken on these projects. • Carried out business assignments aimed at improving efficiency.
